By accessing or using the ADAVEL Fund platform, you agree to be bound by these Terms of Use. Please read them carefully before proceeding.
1. Acceptance of Terms
These Terms of Use ("Terms") govern your access to and use of the ADAVEL Fund platform, website, and related services (collectively, the "Platform"), operated by ADAVEL Fund ("ADAVEL", "we", "us", or "our"), Lagos, Nigeria.
By registering an account, submitting an application, or otherwise accessing the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
We reserve the right to amend these Terms at any time. We will notify registered users of material changes by email. Continued use constitutes acceptance of revised Terms.
2. Definitions
"Platform" means the ADAVEL Fund website, web application, and all associated digital services accessible at adavelfund.com.
"User" means any individual or entity that accesses or uses the Platform.
"Founder" means a User who registers to apply for investment from ADAVEL Fund.
"Application" means a submission made by a Founder seeking equity investment and/or Revenue-Based Financing.
"Portfolio Company" means a company that has received investment following a successful Application and executed term sheet.
3. Account Registration
- You must provide accurate, current, and complete information during registration.
- You are responsible for maintaining the confidentiality of your login credentials. Notify us immediately at management@adavelfund.com if you become aware of any unauthorised use.
- Each User may hold only one account. Creating multiple accounts to circumvent any restriction is prohibited.
- We reserve the right to suspend or terminate any account used in breach of these Terms.
4. Founder Obligations
By submitting an Application, you represent and warrant that:
- All information provided is accurate, truthful, and not misleading in any material respect.
- You have authority to bind your business to any investment agreement offered by ADAVEL.
- All uploaded documents are genuine and have not been altered to misrepresent your position.
- You will submit monthly performance reports between the 1st and 10th of each calendar month following investment.
- You will not disclose confidential information shared through the Platform.
- Submitting false, misleading, or fraudulent information constitutes mismanagement and may trigger legal recovery proceedings.
5. Prohibited Activities
- Submitting false, misleading, or fraudulent information
- Attempting to gain unauthorised access to any part of the Platform or another user's account
- Using the Platform for unsolicited communications or harassment
- Reverse engineering, decompiling, or extracting source code from the Platform
- Using automated means to scrape or extract data without prior written consent
- Facilitating any activity that violates applicable Nigerian or international law
- Impersonating any person or entity
- Uploading content containing malware or disruptive code
6. Intellectual Property
- All Platform content is the property of ADAVEL Fund or its licensors, protected by applicable intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable licence to use the Platform for its intended purpose only.
- By submitting Content, you grant ADAVEL a non-exclusive, royalty-free licence to use, store, and display it for operating the Platform and managing the investment relationship.
- You retain ownership of all Content you submit. ADAVEL will not sell it to third parties.
7. Confidentiality
- Information shared through the Platform is confidential. Neither party will disclose it to third parties except as required by law.
- Portfolio Company financials and strategic plans are confidential to ADAVEL only.
8. Disclaimer of Warranties
The Platform is provided "as is" and "as available." ADAVEL makes no warranties, express or implied, regarding the Platform, including merchantability, fitness for purpose, or non-infringement. We do not warrant uninterrupted, error-free, or virus-free operation.
9. Limitation of Liability
To the maximum extent permitted by law, ADAVEL shall not be liable for any indirect, incidental, special, or consequential damages. Total liability shall not exceed the amount paid by the User in the twelve months preceding the claim, or ₦100,000 — whichever is lower.
10. Termination
- You may close your account at any time by contacting management@adavelfund.com.
- ADAVEL may suspend or terminate access at any time if you breach these Terms.
- On termination, your licence ceases. We may retain data as required by law or contract.
11. Governing Law & Dispute Resolution
These Terms are governed by the laws of the Federal Republic of Nigeria. Disputes shall be submitted to the courts of Lagos State, Nigeria. Before initiating formal proceedings, contact management@adavelfund.com and allow 30 days for good-faith resolution.
